Property Development and Transactions

Patrick’s experience in property development and transactions includes advising developers, landowners, and government entities on all aspects of residential and commercial property matters. His expertise in this area includes:

  • Managing complex residential and commercial property transactions from inception to completion including contract negotiations, due diligence and settlement, ensuring seamless execution and risk minimisation.
  • Advising on and structuring property development projects in Queensland, including master-planned communities, residential subdivisions commercial developments, joint ventures and development management arrangements. Patrick has prepared complex CMS and BMS documentation including volumetric subdivisions and combined residential, retail and commercial sites.
  • Utilising technology such as electronic signing and settlement platforms, to facilitate efficient, secure, and timely contract issue, execution and settlements for high-volume and complex property transactions including managing settlement of over 100 lots in one day.
  • Ensuring strict compliance with state-based property legislation and disclosure requirements, including the recently introduced Seller Disclosure Regime in Queensland, to protect clients from pre-contractual and post-contractual disputes.
  • Representing government and semi-government bodies in relation to strategic site acquisitions, infrastructure projects, and the disposal of public land assets.
  • Advising on due diligence investigations, planning approvals, encumbrances, easements, and covenants affecting real property.

Corporate and Commercial

Patrick provides strategic advice to corporate clients on structuring, governance, and commercial transactions across various industries. His experience includes:

  • Advising on and implementing corporate structuring and restructuring strategies to optimise asset protection, tax efficiency, and operational flexibility for businesses of all sizes.
  • Drafting, negotiating, and reviewing a wide range of bespoke commercial agreements, including shareholder agreements, partnership agreements, joint venture agreements, and distribution agreements across various industries.
  • Assisting clients with business acquisitions and disposals, including conducting comprehensive legal due diligence, drafting transaction documents, and managing transition arrangements.
  • Advising on corporate governance, directors’ duties, and regulatory compliance issues across diverse industry sectors, including hospitality, manufacturing, technology, and professional services.
  • Protecting business assets and commercial interests through the drafting of robust supply contracts, service level agreements, and intellectual property licensing arrangements.

Leasing

Patrick has significant expertise in retail and commercial leasing, as acting for both institutional and private clients. His experience includes:

  • Acting for landlords and tenants in relation to retail, commercial, and industrial leasing matters across shopping centres, medical centres and large scale development projects, including drafting and negotiating leases, subleases, licences, and incentive deeds.
  • Advising on compliance with retail shop leases legislation, disclosure requirements, and dispute resolution mechanisms under state-based leasing frameworks.
  • Negotiating and drafting deeds of variation, surrender, and assignment of leases to facilitate business transitions and property redevelopments.

Lending and Finance

Patrick regularly reviews and prepares lending and security documents for both lenders and borrowers. His experience includes:

  • Structuring and documenting private money lending transactions, including drafting loan agreements, mortgages, general security agreements, and deeds of priority; and
  • Advising lenders and borrowers on security perfection, risk allocation, and enforcement strategies in relation to commercial finance arrangements.
